Terms of Service

These Terms of Service ("Terms") govern your use of the Utilytic website and services ("Service") operated by Utilytic ("we", "us"). By using the Service you agree to these Terms.

1. The Service

Utilytic provides browser-based file utility tools (audio, video, PDF, image) and optional AI features that run on our servers. Free tools process files entirely in your browser — nothing is uploaded. AI features require credits and send only the minimum data necessary to perform the requested action.

2. Accounts

You may use free tools without an account. An account is required to purchase credits and use AI features. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 13 years old to create an account.

3. Credits and payments

• Credits are purchased in packs. Credits never expire.
• Credits are non-refundable except where required by applicable law.
• Prices are displayed in USD and are subject to change with notice.
• Payments are processed by Paddle, our Merchant of Record. Paddle is responsible for collecting and remitting applicable taxes. Disputes about charges should be directed first to us, then to Paddle.
• We reserve the right to suspend credit usage or reverse fraudulent transactions.

4. Acceptable use

You agree not to use the Service to:

• Process files you do not own or have no right to use
• Circumvent usage limits by automated means (bots, scripts, scrapers)
• Attempt to reverse-engineer, overload, or interfere with the Service
• Upload or process material that is illegal, defamatory, or infringes third-party rights
• Resell or sublicense access to the Service without our written consent

We may suspend or terminate your account without notice for material breaches of these rules.

5. Intellectual property

You retain all rights to the files you process. We claim no ownership over your content. The Utilytic name, logo, and Service code are our intellectual property and may not be copied or reused without permission.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. File processing and data deletion

Free tool files are processed entirely in your browser and are never transmitted to our servers. For AI features, uploaded inputs and outputs are automatically deleted within 60 minutes of processing. We are not a storage provider and make no guarantees regarding file retention.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that output files will meet your specific requirements. Always keep backups of your original files.

9. Limitation of liability

To the fullest extent permitted by law, Utilytic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data or files. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or USD 10, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Utilytic and its affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the Service in violation of these Terms or applicable law.

11. Changes to the Service and Terms

We may modify the Service or these Terms at any time. Material changes will be communicated via the website or email. Continued use after changes constitutes acceptance of the new Terms.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Utilytic operates, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration or in the courts of that jurisdiction.
